Terms of Service

The short version:NRIBay is a free venue where members of the community list items and connect with each other. We are not a party to any transaction, we don't handle payments, and we can't guarantee items, buyers, or sellers. You transact at your own risk. These Terms include an arbitration agreement and class-action waiver (Section 14).

1. Acceptance of these Terms

These Terms of Service ("Terms") are a binding agreement between you and Kfamily Enterprise Private Limited (CIN: U78300AP2025PTC120486), a company incorporated in India with its registered office at Nellore, Andhra Pradesh 524003, India, operating this service under the brand "NRIBay" ("NRIBay", "we", "us"), governing your access to and use of the website at nribay.com and any related services (collectively, the "Service"). By creating an account, posting a listing, sending a message, or otherwise using the Service, you agree to these Terms, our Privacy Policy, our Prohibited Items & Posting Rules, our Community Guidelines, and our Copyright (DMCA) Policy, all of which are incorporated into these Terms by reference. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Service. By using the Service you represent that you meet these requirements and that you have not previously been suspended or removed from the Service. The Service is intended for users located in the United States.

3. NRIBay is a venue only

NRIBay provides a platform that allows users to post classified listings and communicate with each other. We are not a party to, and have no involvement in, any transaction between users. Specifically:

We do not own, sell, resell, inspect, store, ship, or deliver any items listed on the Service.
We do not process, hold, or transfer payments between users, and we are not an escrow service, broker, agent, auctioneer, or insurer.
We do not verify the identity of users, the accuracy of listings, the quality, safety, or legality of items, or the ability of buyers to pay or sellers to deliver.
Any agreement formed as a result of a listing is solely between the buyer and the seller. All risks arising out of a transaction — including pricing, payment, condition of goods, meeting arrangements, and fraud — rest entirely with the transacting users.

4. Accounts

You must provide accurate information when creating an account and keep it up to date.
You are responsible for all activity that occurs under your account and for keeping your password confidential. Notify us immediately of any unauthorized use.
One person may not maintain multiple accounts for the purpose of evading enforcement, manipulating reviews, or circumventing suspensions.
We may refuse, suspend, or terminate any account at any time, with or without notice, for any reason, including violation of these Terms.

5. User content and listings

"User Content" means anything you post to the Service, including listings, photos, descriptions, messages, reviews, and profile information. You retain ownership of your User Content. By posting it, you grant NRIBay a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify (for formatting), display, and distribute your User Content for the purposes of operating, promoting, and improving the Service.

You represent and warrant that:

You own or have all rights necessary to post your User Content;
Your User Content is accurate and not misleading;
You have the legal right to sell any item you list, and the item complies with our Prohibited Items & Posting Rules and all applicable laws;
Your User Content does not infringe any third party's intellectual property, privacy, or other rights.

We may (but are not obligated to) review, moderate, edit, decline, or remove any User Content at any time for any reason without notice. Listings may be subject to admin approval before going live.

6. Prohibited conduct

You agree not to:

Violate any law or regulation, or post any listing for an item that is illegal to sell or that appears on our prohibited items list;
Post false, misleading, deceptive, or fraudulent content, or engage in any scam, phishing, or social-engineering scheme;
Harass, threaten, defame, or discriminate against other users;
Send spam or unsolicited commercial messages, or harvest user data;
Infringe any intellectual-property right;
Impersonate any person or misrepresent your affiliation with anyone;
Interfere with the Service, attempt to bypass security or rate limits, scrape the Service, introduce malware, or use bots or automated means to access the Service without our written permission;
Manipulate reviews, ratings, or the referral program;
Circumvent or attempt to circumvent any suspension or termination.

7. Fees

Use of the Service is currently free. We reserve the right to introduce fees for some or all features in the future; if we do, we will provide notice and the fees will apply only prospectively.

8. Third-party content and services

The Service may contain links to third-party websites or rely on third-party services. We do not endorse and are not responsible for third-party content, products, or services. Your use of them is at your own risk and subject to their own terms.

9. Intellectual property of NRIBay

The Service, including its design, text, graphics, logos, and software (excluding User Content), is owned by or licensed to NRIBay and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms.

10. Copyright complaints

We respect intellectual-property rights and respond to notices of alleged infringement in accordance with the Digital Millennium Copyright Act. See our Copyright (DMCA) Policy for how to submit a notice.

11. Disclaimers

THE SERVICE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, NRIBAY MAKES NO WARRANTY THAT (A) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (B) ANY LISTING, USER, OR USER CONTENT IS ACCURATE, LEGAL, SAFE, OR RELIABLE; OR (C) ANY TRANSACTION INITIATED THROUGH THE SERVICE WILL BE COMPLETED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. SEE ALSO OUR DISCLAIMER.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NRIBAY AND ITS OWNERS, OPERATORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR PERSONAL INJURY OR PROPERTY DAMAGE, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR ANY TRANSACTION OR INTERACTION WITH ANOTHER USER, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AMOUNTS YOU PAID US (IF ANY) IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to defend, indemnify, and hold harmless NRIBay and its owners, operators, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use of the Service; (c) your violation of these Terms or any law; (d) your violation of any third party's rights; or (e) any transaction or dispute between you and another user.

14. Dispute resolution — arbitration and class-action waiver

Please read this section carefully. It affects your legal rights.

Informal resolution first. Before filing a claim, you agree to contact us through the contact page and attempt in good faith to resolve the dispute informally for at least 30 days.
Binding arbitration. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved by binding individual arbitration under the (Indian) Arbitration and Conciliation Act, 1996, before a sole arbitrator, rather than in court. The seat of arbitration will be Nellore, Andhra Pradesh, India, the language of arbitration will be English, and hearings may be conducted remotely by videoconference.
Class-action waiver. You and NRIBay each agree that disputes will be brought only on an individual basis, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.
Exceptions. Either party may bring an individual claim in small-claims court, or seek injunctive relief in court for infringement or misuse of intellectual-property rights.
Opt-out. You may opt out of this arbitration agreement by notifying us through the contact page within 30 days of first accepting these Terms, stating your name, account email, and your intent to opt out of arbitration.

15. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to Section 14, any judicial proceeding will be brought exclusively in the courts at Nellore, Andhra Pradesh, India, and you consent to their jurisdiction.

16. Termination

You may stop using the Service or delete your account at any time from your dashboard. We may suspend or terminate your access at any time, with or without cause or notice. Sections 3, 5 (license), 11–15, and 17–18 survive termination.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on this page with a new "Last updated" date and, where appropriate, provide additional notice (such as a site announcement). Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

18. General

These Terms (together with the policies incorporated by reference) are the entire agreement between you and NRIBay regarding the Service. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates any partnership, employment, or agency relationship.

19. Grievance redressal

In accordance with the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, complaints about the Service or content on it may be raised with our Grievance Officer: Grievance Officer, Kfamily Enterprise Private Limited, Nellore, Andhra Pradesh 524003, India, by email at [email protected] or through the contact page. We will acknowledge complaints within 24 hours and aim to resolve them within 15 days of receipt.
